OVERVIEW

These Terms of Service (“Terms”) govern your access to and use of the myledof.com website and the services provided by LEDOF through that site. By accessing, browsing, or using this website (the “Site”) or by purchasing any products from us, you (“User”) agree to be bound by these Terms. If you do not agree to any part of these Terms, you must refrain from using the Site or our services.

LEDOF (“we”, “us”, or “our”) is the company that owns and operates the Site. We offer this Site and all products, information, and services available through it to users worldwide, except in certain restricted countries (see the Shipping and Limitations section below). These Terms apply to all visitors and users of the Site, including those who purchase products (with or without creating an account), and those who simply browse or provide content (such as product reviews). Additional policies may apply to specific activities on the Site – for example, please also review our Privacy Policy, Shipping Policy, and Refund Policy, which are incorporated into these Terms by reference.

User Eligibility: By using our Site, you represent that you are at least the age of majority in your country or state of residence (18 years in many jurisdictions), or that you are using the Site under the supervision and with the consent of a parent or legal guardian. You must have the legal capacity to enter into a binding contract in order to make purchases on the Site. If you are using the Site on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.

If any provision of these Terms is held to be invalid or unenforceable, that provision will be removed or limited to the minimum extent necessary, and the remainder of the Terms will remain in full force and effect (this is known as severability). These Terms (along with any other rules or policies posted on our Site) constitute the entire agreement between you and LEDOF regarding your use of our Site and services, superseding any prior agreements or communications. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Description of Services

LEDOF’s Service: LEDOF operates an international online store via the myledof.com website, through which we sell LED lighting products and related goods to customers around the world. Our platform allows you to browse our product catalog, learn about our LED lighting solutions, place orders online, and receive products through worldwide shipping (with certain regional exclusions noted in these Terms).

Account Registration (Optional): Users have the option to order products either as a guest or by creating a personal account on the Site. Registration is not required to make a purchase; you may check out as a guest. However, if you choose to register an account, you will gain access to a personal user dashboard where you can manage your profile, view order history, track current orders, and save preferences for future visits. Whether or not you register, you must ensure that any information you provide during checkout (such as name, shipping address, email, and payment details) is accurate and complete.

All Users must use the Site only for its intended purpose and in accordance with these Terms and applicable laws.

Account Responsibilities: If you choose to create an account, you are responsible for maintaining the confidentiality of your login credentials and restricting access to your account. You agree to provide truthful, accurate, and up-to-date information during registration and whenever you provide details in connection with using the Site or placing orders. You must promptly update your account information (such as contact details or payment information) if it changes. You are responsible for all activities that occur under your account. If you suspect any unauthorized use of your account or a security breach, you must notify us immediately at our contact email.

Prohibited Conduct: When using our Site or any LEDOF service, you agree that you will NOT engage in any of the following activities:

• Illegal or Fraudulent Activity: Engage in any unlawful or fraudulent activity, or violate any applicable law or regulation in the context of using our Site or services.
• Infringing Rights: Infringe upon or violate our intellectual property rights or the rights of others. This includes not uploading or sharing any content that you do not have the right to use.
• Offensive or Harmful Content: Post, transmit, or submit any content that is unlawful, defamatory, libelous, harassing, threatening, abusive, obscene, pornographic, vulgar, or otherwise objectionable. Any content that promotes hatred, violence, or discrimination is strictly prohibited.
• Misrepresentation: Provide any information that is false, fraudulent, misleading, or attempt to impersonate any person or entity. This includes not using false contact information or pretending to be someone else when communicating with us or other users (such as in product reviews).
• Interference and Hacking: Interfere with or disrupt the normal operation of the Site or the servers and networks used to make the Site available. You agree not to introduce any viruses, worms, malware, or any other code of a destructive nature. You also must not attempt to circumvent any security measures, probe or test the vulnerability of our systems, or gain unauthorized access to any portion of the Site, other users’ accounts, or any network or system connected to LEDOF.
• Automated Access: Use any automated system, script, or software (such as bots, spiders, or scrapers) to access, “scrape,” or “crawl” the Site or any content on it for any purpose without our express written permission.
• Spam and Unsolicited Messages: Engage in any form of unsolicited advertising, marketing or other activities (such as spam, junk mail, chain letters, or pyramid schemes) that are not expressly permitted on the Site. You must not use the Site to collect personal information about other users without their consent, or to send unwanted messages.

These examples of prohibited conduct are not exhaustive. Any behavior that we determine (in our sole discretion) to be abusive, harmful, or in violation of the spirit of these Terms may result in suspension or termination of your access.

User-Generated Content: If you post reviews, comments, or other content on our Site, you must ensure that such content complies with the standards above. You are solely responsible for any content you submit and its accuracy. We assume no liability for any user-generated content posted on our Site. LEDOF reserves the right (but has no obligation) to monitor, edit, refuse to post, or remove any content posted by users at any time, for any reason, including if such content violates these Terms or is otherwise objectionable.

Consequences of Violations: If you violate any of the foregoing obligations or any other provision of these Terms, we may take appropriate action. This may include removing or modifying offending content, issuing a warning, suspending or terminating your account or access to the Site, cancelling your orders, and/or reporting you to law enforcement authorities if the violation involves illegal conduct. You agree that we may, in our sole discretion, take any such actions without prior notice to you. You will remain liable for any pending obligations (such as payment for an order already placed) even if we terminate your access.

Payments and Taxes

When you make a purchase on myledof.com, you agree to pay the price listed for the product(s) you are ordering, as well as any applicable shipping charges and taxes as described at checkout. All payments must be made using a valid payment method. We accept the following forms of payment for orders on our Site:

By placing an order and providing your payment information, you authorize LEDOF (or our authorized payment processor) to charge your chosen payment method for the total amount of your order (including any applicable fees, taxes, and shipping costs). Payment is typically processed at the time of checkout (unless otherwise stated for a specific payment method, such as certain credit card charges or PayPal which may charge upon shipment). If the payment cannot be completed or is refused/declined by your bank or payment provider, your order will not be accepted, and we will have no obligation to fulfill it. We reserve the right to cancel any order if payment is not successfully processed, and we may attempt to contact you using the contact information you provided to resolve any payment issues.

Pricing and Currency: Unless expressly indicated otherwise, all product prices listed on the Site are in United States Dollars (USD). While we may provide currency conversion or localization features for your convenience, the final transaction may be processed in USD. The purchase price displayed at checkout represents the final price of the products exclusive of any taxes or duties, unless explicitly stated. We make every effort to ensure accurate pricing; however, in the event of a pricing error or discrepancy, we reserve the right to correct the price and inform you of the corrected amount. If you do not agree to pay the corrected price, we will cancel your order and refund any payment already made.

Taxes and Duties: Prices on our Site do not include any applicable sales tax, value-added tax (VAT), customs duties, or other governmental fees that may apply to your order, unless we clearly state that a price is tax-inclusive for a certain jurisdiction. At checkout, any taxes that we are required to collect (for example, sales tax for certain U.S. states, or VAT for certain countries if applicable) will be calculated and added to your order total. That amount will be disclosed before you finalize your purchase. For international orders: please be aware that your country’s customs agency may impose import duties, taxes, or brokerage fees when the product enters your country. You are responsible for paying all such import charges in addition to the purchase price. We have no control over these charges and cannot predict their amount, as customs policies vary widely by country. If any import duties or taxes are due, the carrier or customs office may hold the package until the charges are paid. Failure to pay these may result in the package being returned or destroyed, in which case we may not be able to issue a full refund.

By submitting an order, you represent and warrant that the payment information you provide is truthful, accurate, and that you are authorized to use the payment method. If you use a credit or debit card, it must be issued in your name or you must have legal authorization to use it. We take security seriously; payment transactions are processed via secure third-party payment gateways. (For example, credit card data is typically encrypted and handled by our payment processor; we do not store your full credit card details on our own servers.) However, in the rare event of any payment processing errors or issues, our liability will be limited as described in the Disclaimer of Liability section of these Terms.

Shipping and Limitations

Geographical Limitations: LEDOF ships products to many countries worldwide. However, **we do not currently ship to the following countries/regions: Kazakhstan, Ukraine, India, and Russia. This means we will not accept or fulfill orders with a delivery address in these locations. We apologize for any inconvenience. If you attempt to place an order to an address in one of the excluded regions, the Site may prevent you from completing checkout; if an order is somehow accepted for a restricted destination, we reserve the right to cancel that order and provide a full refund of any payment received, without any further liability.

Order Processing and Delivery: We will process and ship accepted orders to all other supported countries as promptly as possible. Shipping options (such as standard or express delivery) and estimated delivery times will be provided during checkout, based on your specified destination. Please note that any delivery timeframe provided is an estimate and not a guarantee. Actual delivery times may vary due to factors beyond our control, including but not limited to customs clearance procedures, logistics delays, public holidays, or unforeseen supply chain disruptions. Order “Free Shipping”: If we offer free shipping or any special delivery promotions, those will be subject to the conditions stated (for example, free standard shipping might apply to certain destinations or order amounts). We reserve the right to change our shipping promotions at any time.

Delivery and Delays: LEDOF will make reasonable efforts to meet the delivery estimates, but we are not liable for any delays or failure to deliver by estimated dates. Ownership and risk in the products you purchase typically pass to you upon our handing over the package to the carrier for shipment (subject to applicable law and the carrier’s terms). This means that once the order is shipped, delays or issues in transit may be outside of our control. We will, however, assist in providing information or filing inquiries with the carrier in case of a significant delay or if a shipment is lost. Please ensure that the shipping address you provide is correct and accessible; we are not responsible for orders that cannot be delivered due to an incorrect address or if you fail to collect the package from the carrier.

Customs and Import Rules: For international deliveries, you are responsible for ensuring that the products can be lawfully imported into the destination country. This includes checking that the products comply with local customs, regulatory, and safety requirements. You agree to comply with all import/export laws and regulations applicable to your purchase. If a package is held or refused entry by customs due to restrictions or prohibitions on the items, it is your responsibility to resolve the issue with the customs authority. We cannot be held responsible for products confiscated by customs or any fines or penalties resulting from an attempted import by you.

Order Limitations and Refusals: LEDOF reserves the right to limit the quantity of items that can be purchased per person, per household, or per order. These restrictions can include orders placed under the same customer account, the same credit card, and/or orders using the same billing or shipping address. In addition, we may, on a case-by-case basis, decline or cancel any order at our sole discretion. Reasons for refusing an order may include, for example: the product is out of stock, we identify an error in pricing or product information, the delivery address is in a restricted or unsupported region, the order triggered our fraud prevention controls, or we suspect the order is being placed by a reseller or distributor rather than an end consumer. If we cancel or change an order, we will attempt to notify you via the email and/or phone number provided with the order. If you have already been charged and your order is canceled, we will issue a refund for the amount charged (with no further compensation or liability for the cancellation). We also reserve the right to discontinue any product or change the availability of products at any time without notice.

Disclaimer of Liability

No Warranties (As-Is Sale): The Site, and all products and services offered through the Site, are provided on an “as is” and “as available” basis, without any warranties of any kind, either express or implied, except those explicitly set forth in writing. To the fullest extent permitted by applicable law, LEDOF disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not guarantee that the quality of any products, information, or other material purchased or obtained by you through the Site will meet your expectations, or that any errors in the Site will be corrected. Use of our Site and products is at your own risk.

Accuracy of Information: While we strive to present current and accurate information on the Site, LEDOF does not warrant or represent that the content on this Site is complete, reliable, or up-to-date. Product descriptions, photographs, pricing, and availability information are provided for convenience and may contain inadvertent errors or omissions. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update information at any time without prior notice (including after you have submitted an order). We also reserve the right to cancel or refuse any order placed based on incorrect pricing or availability information. Any reliance on the material on this Site is at your own discretion and risk. The Site may occasionally be inaccessible or experience errors; we do not guarantee continuous, uninterrupted, or secure access to our services, and operation of the Site may be interfered with by numerous factors outside of our control.

Limitation of Liability: To the fullest extent permitted by law, LEDOF and its owners, officers, employees, agents, partners, suppliers, or affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or relating to your use of (or inability to use) the Site or any LEDOF products or services. This includes, without limitation, any damages for lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability, or otherwise, even if we have been advised of the possibility of such damages. In jurisdictions that do not allow the exclusion or limitation of certain damages, we will abide by the applicable law’s requirements, and our liability will be limited to the maximum extent permitted. In all cases, LEDOF’s aggregate liability to you for any claim arising out of or related to the use of the Site, these Terms, or any products or services purchased via the Site, shall not exceed the amount actually paid by you to LEDOF for the product or service in question. For example, if the issue involves a specific purchase, our maximum liability would be the price you paid to us for that item.

Third-Party Websites and Services: The Site may contain links to third-party websites or services (for example, links to social media platforms, payment gateways, or partner sites). These links are provided for your convenience and do not signify our endorsement of such third parties or their content. LEDOF has no control over, and assumes no responsibility for, any third-party websites or services, including their content, accuracy, policies, or practices. If you access any third-party site or service through a link on our Site, you do so at your own risk. Any transaction or interaction between you and a third-party provider is solely between you and that third party, and LEDOF shall not be liable for any loss or damage arising from such dealings.

Indemnification: You agree that if a third party makes a claim against LEDOF due to your actions, breach of these Terms, or violation of any law or rights of a third party, you will defend, indemnify, and hold harmless LEDOF, its parent company (if any), and its affiliates, as well as their respective officers, directors, employees, and agents, from any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in connection with that claim. This means you will pay for any cost, loss or damage that LEDOF incurs (including legal fees and costs) due to your breach of these Terms or your use of the Site in violation of any law or regulation or third-party right. We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defense of such claim. This indemnity obligation will survive the termination of these Terms and your use of the Site.

No Waiver of Rights: No failure or delay by LEDOF in exercising any right, power, or remedy under these Terms (including enforcing a provision or requiring performance by a user) will operate as a waiver of that or any other right, power, or remedy. Similarly, no single or partial exercise of any right, power, or remedy by us precludes any further exercise of the same or the exercise of any other right, power, or remedy.

Intellectual Property

Site Content Ownership: All content on the Site, including but not limited to text, descriptions, product images, graphics, logos, button icons, videos, audio clips, software code, design layout, and overall look-and-feel, is the exclusive property of LEDOF or its content suppliers and is protected by international copyright, trademark, and other intellectual property laws. LEDOF retains all rights, title, and interest in and to its intellectual property. This includes the compilation of all content on the Site (meaning the collection, arrangement, and assembly of all materials) which is the exclusive property of LEDOF. You acknowledge that the Site and its content are protected by copyright and other laws, and that you do not acquire any ownership rights by using the Site or by purchasing products.

Limited Personal Use License: LEDOF grants you a limited, revocable, and non-exclusive license to access and make personal use of our Site and content. Under this license, you may view, download (temporary page caching only), and print pages from the Site for your own personal, non-commercial use – for example, to evaluate products or place an order. However, you are strictly prohibited from: copying, reproducing, modifying, distributing, transmitting, displaying, performing, publishing, licensing, creating derivative works from, or selling any content obtained from the Site, unless you have our express prior written permission. You also may not use any meta tags or any other “hidden text” utilizing our name or trademarks without our express consent. Any unauthorized use of the Site or its content will terminate the permission or license granted by these Terms.

Trademarks: LEDOF and the LEDOF logo, as well as other graphics, logos, page headers, button icons, and service names appearing on the Site, are trademarks, service marks, or trade dress of LEDOF (whether registered or unregistered). You are not granted any right or license to use any of these trademarks without the prior written permission of LEDOF. All other trademarks, product names, and company names or logos mentioned on the Site are the property of their respective owners. For example, the names and logos of payment providers (Visa, MasterCard, PayPal, etc.) are trademarks of those third parties. LEDOF’s reference to third-party trademarks on the Site is for identifying the compatibility or third-party services (such as accepted payment methods) and does not indicate any sponsorship or endorsement by those third parties. You agree not to remove, obscure, or alter any proprietary rights notices (including trademark and copyright notices) that may be affixed to or contained within the Site.

User Submissions and License Grant: If you submit or post any content on our Site – for example, product reviews, comments, feedback, photographs, or suggestions (“User Content”) – you retain ownership of your intellectual property rights in that content. No Confidentiality or Compensation: You agree that any User Content you submit is not confidential or proprietary. We are not obligated to treat any User Content as confidential, and we may use it without any obligation to compensate you. We may remove, edit, or refuse to post any User Content at any time for any reason, particularly if such content violates these Terms, our guidelines, or is otherwise objectionable. We may also terminate a user’s ability to post content if they repeatedly violate these standards. You agree that LEDOF has no liability or responsibility for the performance or non-performance of such monitoring activities.

Right to Change Terms

LEDOF reserves the right to modify, update, or replace these Terms of Service at any time. If we make changes to the Terms, we will post the revised Terms on this page and update the “Last Updated” date at the top (or otherwise indicate that changes have been made). Changes to the Terms will become effective at the time of posting the updated version on the Site, unless stated otherwise. It is your responsibility to review the Terms periodically for any updates. We may, at our discretion, also notify registered users of significant changes via email or by prominent notice on the Site, but we are not obligated to do so.

By continuing to use the Site or our services after any revised Terms have been posted, you are agreeing to be bound by the updated Terms. If you do not agree with any modification to these Terms, you must stop using the Site and services immediately. Please note that no change to these Terms will apply to any dispute between you and LEDOF that arose prior to the date on which the updated Terms were posted. It’s important that you keep yourself informed of the current Terms each time you use our Site.

We also reserve the right to modify or discontinue the Site or any part of the service (including product offerings, prices, or content) at any time. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Site or any service. Your use of the Site after we make any changes to the service will constitute acceptance of those changes.

Governing Law and Jurisdiction

This agreement (the Terms of Service) and any dispute or claim arising out of or in connection with it or with your use of the Site (including purchases of products) shall be governed by and construed in accordance with the laws of the Republic of Kazakhstan, without regard to its conflict of law principles. In other words, the laws of Kazakhstan (the country where LEDOF is headquartered) will control these Terms and how they are interpreted and applied, except to the extent that another country’s laws cannot be legally waived or are mandatorily applicable to your use of the Site.

By using the Site or purchasing products, you agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site shall be resolved exclusively in the courts of Kazakhstan. You consent and submit to the exclusive jurisdiction of the competent courts located in Kazakhstan for the purpose of litigating any such dispute. You also waive any objection to such courts exercising jurisdiction over you, including any objection based on inconvenience of the forum (forum non conveniens) or any similar grounds. If you are located outside of Kazakhstan, you acknowledge that you are voluntarily accessing the Site and that Kazakhstani courts may adjudicate disputes, applying Kazakhstani law as provided above.

Consumer Rights Notice: Notwithstanding the above, we acknowledge that consumers in some jurisdictions have certain mandatory legal rights that cannot be waived or limited by contract. Nothing in these Terms is intended to limit your rights as a consumer under the law of your country of residence. For example, if you reside in a country that provides you certain statutory warranties or rights (such as a right to cancel an online purchase within a cooling-off period, or specific remedies for faulty goods), and those laws apply to your transaction, then those rights take precedence to the extent they cannot be excluded by contract. In such cases, our liability and obligations to you will be determined by the applicable law. However, to the fullest extent permitted, any disputes will still be subject to the governing law and jurisdiction specified above.

No Alternative Dispute Resolution Required: Unless otherwise required by law, LEDOF is not obligated to engage in any specific alternative dispute resolution process (like arbitration or mediation) before litigating disputes, and these Terms do not mandate arbitration. However, we encourage you to contact us directly to attempt to resolve any concern or dispute amicably before pursuing formal legal action. We value our customers and will make a good-faith effort to address any issues that arise.
